It put Microsoft in their debt, and they could make royalties off it. It also meant that they NEVER had to worry about the other clones having a more PC-compatible DOS release than them, faster than them.

Because Compaq now controlled the DOS functionality AND the release cycle. Because they only gave Compaq DOS updates to Microsoft on a month or so delay.
