I think that in the second example, it might help if you keep the thing that comes before the は in mind as context, but skip it as you read the sentence. (After all, you won't have multiple in one sentence*, and it's usually omitted in conversations. )In that case it would become:
私の 大事な 仲間 だ
I think** that it's supposed to mean “[she] is an important friend of mine”.
Once you get to the verb, you just recall the topic of the conversation.
*Actually with a conjunction you can have multiple if you are contrasting things. Also sometimes you see the は after other particles and I think that its sole purpose in that case is for emphasis on contrast and it doesn't count. Don't worry too much about those uses if you don't already understand は well though.
**I believe that the Japaniizu would actually write “大事な 私の 仲間 だ” to get that meaning, because otherwise they would parse it as “(私の 大事)な 仲間 だ”, meaning “friend to whom I matter”. Or maybe that was supposed to be the meaning, but it seems less likely.
