Why a new license rather than relicensing the original code? ZFS on Linux is an externally maintained project with significant contributions not owned by Oracle, and Oracle can't simply relicense those. But almost all of that is under CDDL with an "or later" term, and so a new version of the CDDL with a limited GPL-relicensing grant would apply. There's a small amount of code that's explicitly under a specific CDDL version, but rewriting that would be much easier than starting from scratch.
